These Terms of Service ("Terms") govern your use of Prodpod, a productivity and study management application designed to help you focus, track your study sessions, manage tasks, and collaborate with others through study rooms.
By using Prodpod, you agree to these Terms. Prodpod is operated by SNOWPANDA LIMITED, a company registered in the United Kingdom.
By accessing or using Prodpod, you agree to comply with these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the application.
To use Prodpod, you must create an account. We use OAuth authentication providers (such as Google, GitHub, and other supported platforms) for account creation and login.

Ownership and License:
You retain ownership of all content you create within Prodpod. By creating content, you grant us a worldwide, non-exclusive, royalty-free license to store, process, transmit, and display your content solely for the purpose of providing and improving the Prodpod service.
Your Responsibilities:

Study Rooms:
When you create a study room, you control its privacy settings (public or private). Public rooms and their content may be visible and accessible to other Prodpod users. Private rooms are only accessible to users you invite.
As a room creator, you are responsible for:
When you join another user's room, you agree to respect that room's rules and the room creator's authority. Any content you contribute to a room may be visible to other room participants and, for public rooms, potentially to all Prodpod users.
Content Moderation:
We do not actively monitor or moderate user-generated content in study rooms. However, we reserve the right to:
Content Deletion:
When you delete content or close a room, we will make reasonable efforts to remove it from our active systems. However, deleted content may persist in backups for a limited period and may remain visible to users who accessed it before deletion.
Prodpod operates on a subscription model. Payment for subscriptions is processed securely via Stripe, a third-party payment processor.

Pricing:
Prodpod reserves the right to revise its prices at any time. If we change our subscription pricing, we will provide you with advance notice. Price changes will not affect your current subscription period but will apply upon renewal.
We reserve the right to modify or discontinue any subscription plan at any time with reasonable notice to affected users.
We may modify, suspend, or discontinue any part of Prodpod at any time. Where reasonably possible, we will provide advance notice of material changes that may affect your use of the service.
Prodpod allows you to create and join study rooms where you can collaborate with other users in real-time.
Room Guidelines:
We use analytics tools, including PostHog, to understand how users interact with Prodpod and to improve our service. For detailed information about what data we collect and how we use it, please refer to our Privacy Policy.
All intellectual property rights in Prodpod, including but not limited to software, design, text, graphics, logos, and functionality, are owned by SNOWPANDA LIMITED or our licensors.
These Terms do not grant you any rights to use our trademarks, logos, or other brand features without our prior written consent.
Disclaimer of Warranties:
Prodpod is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that Prodpod will be uninterrupted, error-free, or free from viruses or other harmful components. We do not guarantee the accuracy, reliability, or completeness of any content or information provided through Prodpod.
Limitation of Liability:
To the fullest extent permitted by law, SNOWPANDA LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of Prodpod.
Our total liability to you for all claims arising out of or related to these Terms or your use of Prodpod shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless SNOWPANDA LIMITED, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:
We reserve the right to suspend or terminate your access to Prodpod at any time, with or without notice, for any reason, including violation of these Terms, subject to applicable law.
You may terminate your account at any time by contacting us or using the account deletion feature in the application.
Upon termination, your right to use Prodpod will immediately cease, and we may delete your account and all associated data in accordance with our Privacy Policy.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Any disputes arising out of or related to these Terms or your use of Prodpod shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or through a prominent notice within Prodpod.
Your continued use of Prodpod after changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using Prodpod.
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
We may assign these Terms and our rights and obligations under these Terms as part of a merger, acquisition, sale of assets, or by operation of law. You may not assign these Terms or any of your rights or obligations under these Terms without our prior written consent.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SNOWPANDA LIMITED regarding your use of Prodpod and supersede all prior agreements and understandings.
